Neeloy is part of Ebadat’s Fund Formation practice. Neeloy advises fund sponsors, underwriters, and institutional investors on the formation, structuring, and distribution of private investment funds.

He drafts and negotiates core fund documents, handles regulatory compliance and due diligence, and represents general partners in the review of limited partner subscription documents, side letters, and secondary transfers.

Experience

Before joining Ebadat, Neeloy was a senior Investment Funds Associate at Willkie Farr & Gallagher and Kirkland & Ellis, where he advised clients on fund formation and structuring, negotiated private placement memoranda and limited partnership agreements, guided clients through SEC, Dodd-Frank, and AML compliance matters, and mentored junior associates on legal research, drafting, and negotiation.
